As used in this Agreement, "we" "us" and "our" means LAYLA Organization and the "visitor" "you" and "your" means the user downloading the mobile application, logging-in, signing-up or submitting information/content on our Website or application. Your access and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

LAYLA Application and https://www.laylapp.com are operated by LAYLA Organization, having its registered in Israel. LAYLA is a private company with limited liability by Israel laws.

LAYLA operates and offers services with its web application; which is tailored to relief stress and cut-down worries of fruitless navigation on the web for events and social interaction, by scouting for all nightlife-related events for the benefits of Users around the globe. Our Application helps users to make informed and deliberate choices on nightlife events around them. It keeps the users engaged with one another and with the possibilities to interact and share content (media information) via their profiles.

LAYLA Web Application is fast, secure, and reliable with so many measures in place to protect your privacy while giving you the pleasure of social-life exploration at your fingertips.

general terms

By using https://www.laylapp.com , by downloading or using the app, these terms will automatically apply to you. You should make sure therefore that you read them carefully before using the website or the application. You're not allowed to copy or modify the app, any part of the app, or our trademarks in any way. You're not allowed to attempt to extract the source code of the website or app, and you also shouldn't try to translate the app into other languages or make derivative versions. The app itself, the Website, and all the trademarks, copyright, database rights and other intellectual property rights related to it, still belong to LAYLA.

LAYLA is committed to ensuring that our Website and application is as useful and efficient as possible. For that reason, we reserve the right to make changes to the app or to charge for its services, at any time. We will never charge you for the app or its services without making it very clear to you precisely what you're paying for.

The LAYLA app and website processes personal data that you have provided to us, to ensure our Service. It's your responsibility to keep your phone and access to the app secure. We, therefore, recommend that you do not root your phone, which is the process of removing software restrictions and limitations imposed by the official operating system of your device. It could make your phone vulnerable to malware/viruses/malicious programs, compromise your phone's security features and it could mean that the LAYLA web app won't work correctly.

You should be aware that there are certain things that LAYLA will not take responsibility for. Specific functions of the app will require the app to have an active internet connection. The connection can be Wi-Fi or provided by your mobile network provider, but LAYLA cannot take responsibility for the app not working at full functionality if you don't have access to Wi-Fi, and you don't have any of your data allowance left.

With respect to LAYLA's responsibility for your use of the app, when you're using the app, it's important to bear in mind that although we endeavour to ensure that it is updated and correct at all times, we do rely on third parties to provide information to us so that we can make it available to you.

At some point, we may wish to update the app. The app availability on Android and iOS – the requirements for both systems may change, and you'll need to download the updates if you want to keep using the app. LAYLA does not promise that it will always update the app so that it is relevant to you and works with the iOS/Android version that you have installed on your device. However, you promise always to accept updates to the application when offered to you.

To be able to make use of and to have access to the Service, the User has to create an Account in the way as described on the Website/Application. Upon creating its Account, the User will be obliged to provide its Credentials in the way described on the Website. The User is responsible for keeping its Credentials confidential.

Users may be referred from third-party website/app such as Facebook or IN. in consequence of this, the user will grant LAYLA access to its personal data or information from the third-party website/app. This data will form the basis for the user’s account profile. All further information concerning personal data collection and usage are included in LAYLA Privacy Policy

The User is responsible and liable for all access to the Service using its Account. As soon as the User knows or has reason to assume that its Account and/or Credentials has/have come into the hands of unauthorized third party/parties, the User must inform LAYLA support on - Team@laylapp.com immediately, notwithstanding its own obligations to take immediate effective measures himself, such as changing the password to its Account.

LAYLA accepts no liability for any damages resulting from unauthorized use of the Service by the User or third parties.

  1. LAYLA at this moment grants the User a non-exclusive, non-transferable, limited right to access and use the Service, under the conditions of these Terms & Conditions.
  2. The user may not publish the Website or Web App by other means than through the use of the Service.
  3. Any use of the App, including the transmission, distribution and making available thereof, and any other (legal) act relating to the App, by or on behalf of the User, Platform Providers, and end-users is for the User's own risk and responsibility. The use of the Service is at the User's own expense and risk. The User is responsible for meeting the technical and functional requirements and the electronic communication facilities that are necessary to be able to access and use the Service. The User will at all times bear the risk of loss, theft or damage to any of its data.
  4. Notwithstanding any other provisions of these Terms & Conditions, and any of the User's legal obligations, the use of the Service, the Website, the App, and the Content may not, at LAYLA's sole discretion:
    1. a. include software such as viruses or Trojans that can damage or erase, make unavailable or make inaccessible any computers or data of LAYLA, (other) Users or third parties;
    2. b. involve the unreasonable or disproportionate use of the infrastructure of LAYLA's or third parties' computer systems, including but not limited to any use in violation of LAYLA's fair use policy as described on the Application or in the Service;
    3. c. impede the functionality or functionalities of the Service;
    4. d. bypass technical security measures of the computer systems of LAYLA, (other) Users or third parties;
    5. e. involve manual or automated software, devices, or other processes to "crawl," "spider" or scrape any content of the Service;
    6. f. constitute unauthorized or unsolicited advertising, junk, spam, bulk e-mail, scam, and phishing;
    7. g. infringe any of LAYLA's Intellectual Property Rights, privacy rights or any other rights;
    8. h. involve otherwise inappropriate use;
    9. i. involve (virtual) child pornography, bestiality or other unlawful erotic content or acts relating to it;
    10. j. promote or provide instructions or information about how to engage in illegal conduct, to commit illicit activities or support physical harm or injury;
    11. k. involve any unlawful activities or activities that are contrary to morality or public order;
    12. l. affect false or misleading information;
    13. m. Breach of these Terms & Conditions or the Agreement; or. Be unlawful in any way whatsoever.
  5. The User warrants to refrain from such acts.
  6. LAYLA will have the right (but not the obligation), at its sole discretion, to review, edit, limit, refuse or remove Content, Apps and/or to limit and/or refuse a User access to and/or use of the Service. More specifically in the event the Content, the (content of the) App, and/or use of and/or relating to the Service, according to LAYLA, violates these Terms & Conditions, and/or that it deems to be otherwise objectionable, and/or in the event LAYLA deems the technical functionality of the Website or App malfunctioning.
  7. The Service may contain information that is derived from and may refer to third parties' websites, products or services (for instance through hyperlinks, banners or buttons). LAYLA is not responsible, nor liable for the content of such information.
  8. LAYLA may disclose the User's Personal Data and/or Content, or other data relating to the use of the Service, to third parties where it believes, in good faith, that it is necessary to comply with a court order, ongoing judicial proceeding, criminal or civil subpoena, or other legal process or request by law enforcement authorities in (Country of Location and territory), or to exercise its constitutional rights of defense against legal claims.

LAYLA does/will not sell, trade or rent your Personal Data to third parties without your prior consent. However, we can provide your Personal Data to third parties, when this is essential for ensuring the Service to you or for carrying out your instructions. We may provide "aggregated anonymous data" about the usage of the Service to third parties for such purposes as well, as it deems to be appropriate. "Aggregated anonymous data" is data that cannot be traced back to you and which therefore does not count as Personal Data. If LAYLA (or any parts of it) is transferred to a third party, or that LAYLA merges with a third party, or undergoes a reorganization, your Personal Data may also be disclosed and/or transferred to that third party. This third party will have the right to continue to use Personal Data and other information that you provided to LAYLA.

Parties may disclose your Personal Data where it believes, in good faith, that it is necessary to comply with a court order, ongoing judicial proceeding, criminal or civil subpoena, or other legal process or request by law enforcement authorities in Country of territory or to exercise its constitutional rights or defend itself against legal claims.

intellectual property rights

  1. LAYLA and/or its licensors reserve all rights not expressly granted to the User in these Terms & Conditions. The User acknowledges and agrees that – except as explicitly outlined in these Terms & Conditions – LAYLA and its licensors retain all rights, title, and interest, including the Intellectual Property Rights, in and to the Website and Application as well as to any modifications, adaptations or translations thereof. The User acknowledges and agrees that it does not acquire any rights therein, express or implied, except for the rights expressly granted under these Terms & Conditions. The Service is licensed, not sold.
  2. The User is explicitly not allowed to download, copy, amend, make available, or provide otherwise (parts of) the Service, App, Website or other materials made available to the User by means of the Service, for direct or indirect commercial purposes or for any other purposes than the purposes mentioned in these Terms & Conditions. Unless LAYLA has provided its prior written consent to it, or if a mandatory or the absolute rule of law states otherwise.
  3. The User is not permitted to sell, rent out, transfer or grant restrictive rights to the Service, or make it available to third parties in any way or for any purpose not explicitly mentioned in these Terms & Conditions. The User will also refrain from granting third parties access – remotely or otherwise – to the Service or to provide the Service to a third party, not explicitly provided for in these Terms & Conditions.
  4. The User is prohibited from reversing engineer (parts of) the Service, App, Website or other materials made available to the User using the Service, to the extent legally permissible. In the event of reverse engineering permitted by a mandatory or the peremptory rule of law, such as for achieving compatibility with self-written software or enabling to get the ideas, concepts, and principles behind the Service, App, Website or other materials made available to the User using the Service. The User is only allowed to execute this legal right, after first requesting LAYLA to provide the necessary information to achieve such interoperability.
  5. LAYLA will be permitted to install technical provisions to protect the Service and Website about an agreed restriction on the content or the term of the right to use thereof. The user is not allowed to remove or circumvent such technical provisions.
  6. LAYLA's obligation to provide the Service, if any and the User's right of use thereof will only extend to the object code of the Service. Under no circumstance will User obtain any right, and under no condition will LAYLA be obliged to provide (a data carrier with) the source code or any preliminary materials of the provided Service.
  7. In the event LAYLA provides third-party software or services, the (license) terms and conditions of that third party may apply to any use of such software or services. The user guarantees that it will accept and will comply with these third party's terms and conditions.
  8. The User will retain the rights, title, and interest, if any, to the Website and the App. However, all the rights to the programming code, content management system and Service will remain to LAYLA.
  9. Unless the User concluded an agreement for a Paid Service to it (no-branding service), the User is not allowed to remove, make illegible, hide or change notifications concerning Intellectual Property Rights.
